Grupo Casas Bahia (BHIA3), which is under court-supervised reorganization, clarified in a statement released on Wednesday, October 28, 2026, questions from the Brazilian Securities and Exchange Commission (CVM) and B3 about a news article published on October 23, 2026 mentioning an alleged movement of R$ 75.1 million in collateral after the filing for court-supervised reorganization.
The company reported that the article reproduces allegations made by Oliveira Trust, the trustee for the holders of the debentures (debt securities issued by companies to raise funds) of the first series of the 11th issuance, submitted in a petition in the reorganization proceeding. According to the company, this version has not yet been subject to adversarial proceedings or examined by the presiding judge, and its characterization of the facts will be contested in the case records.
On the merits, Grupo Casas Bahia stated that the collateral in favor of the debenture holders consists of a fiduciary assignment of rights over the escrow account, and not a fiduciary assignment of Pix payment receivables. Thus, receivables not deposited into the escrow account would not form part of the collateral. The company added that, based on a provisional injunction granted on August 31, 2026, it understands that any default on non-financial obligations under the debenture instruments does not automatically trigger acceleration of the debts or authorize the appropriation of funds from the escrow account.
In view of differing positions regarding the effects of the court-supervised reorganization and the provisional injunction on the movement of funds in the escrow account, the company reported that it decided to suspend new deposits into this account. It also stated that the funds in question have been fully used to keep its operations running, for the benefit of creditors, suppliers, employees, consumers and other stakeholders, in line with the objective of preserving the company set forth in Law No. 11,101.
Grupo Casas Bahia stated that it understands the matter does not constitute a material fact under CVM Resolution No. 44, as it concerns an ongoing court dispute, with no consummated event deemed material. The company stated that the legal proceedings and associated risks are reported in its Reference Form and financial statements, and that it will keep the market informed if any decision or development arises that, in its view, should be treated as an act or material fact.
