Raízen (RAIZ4) announced, in a notice released on Wednesday, October 21, 2026, a proposal for a minimum private capital increase of R$ 3.5 bn through the issuance of at least 14 bn shares in the context of the company’s out-of-court reorganization plan dated June 5, 2026. The capital increase (“RSA Capitalization”) remains subject to approvals at shareholders’ meetings scheduled for October 30, 2026, and to the decision of the board of directors at a meeting set for November 5, 2026.
The capital increase will be carried out through the issuance of common shares, class A preferred shares (PNA) and class B preferred shares (PNB), all registered, book-entry and without par value, with full rights to dividends, interest on equity (JCP) and other distributions declared as from homologation. The proposed issue price is R$ 0.25 per share, regardless of type or class, based on Clause 5.2.3 of the reorganization plan and on article 170, § 1, of the Brazilian Corporations Law.
Preemptive rights will be granted to shareholders holding shares at the close of trading on November 5, 2026, the record date set by the company. The period for exercising preemptive rights will begin on November 6, 2026, and end on December 7, 2026, totaling 30 consecutive days. Shares acquired as from November 6, 2026, will trade ex-subscription rights and will not entitle the buyer to participate in the capital increase.
The PNB shares issued under the capital increase will not be admitted to trading on a stock exchange or organized over-the-counter market, remaining registered exclusively in the registered share ledger maintained by the bookkeeper. Shares subscribed via the exercise of preemptive rights will be paid in cash, in Brazilian currency, on the settlement date to be informed in a material fact/notice to shareholders on the date of the board of directors meeting that resolves on the increase.
The indicative timetable provides for: release of the notice on October 21, 2026; shareholders’ meetings on October 30, 2026; board meeting to approve the increase and disclosure of a material fact/notice to shareholders on November 5, 2026; start of the preemptive rights period on November 6, 2026; end of the period on December 7, 2026; board meeting to ratify the capitalization on December 16, 2026; and crediting of the new shares on December 18, 2026. If the redesignation of the current preferred shares into PNA is approved, they will start trading, as from November 3, 2026, under the new ticker RAIZ5.
