Banco Bradesco (BBDC4) reported that its Board of Directors approved, in a material fact released on Thursday, October 22, 2026, the renewal of the share buyback program for its own shares, with a term from November 8, 2026 to May 8, 2028. The bank may acquire up to 106,584,881 book-entry registered shares with no par value, being up to 53,413,506 common shares and up to 53,171,375 preferred shares, to be held in treasury and subsequently canceled or sold, without reducing the capital stock.

According to the appendix to the material fact, the objective is to allocate part of the funds recorded in “Profit Reserves – Statutory” to the acquisition of these shares. According to Bradesco, for shareholders the transaction may result in higher financial returns, since shares held in treasury have no economic rights, which means that dividends and interest on equity (JCP) are paid only to the remaining shares in circulation.

On the base date of October 15, 2026, Bradesco had 1,505,799,592 common shares and 5,321,529,153 preferred shares outstanding, in addition to 10,650,000 common shares and 10,650,000 preferred shares held in treasury. The maximum number of shares provided for in the program is considered by the company to be insufficient to change the shareholding control or management structure.

The acquisitions will be carried out at market prices on B3, with Bradesco S.A. Corretora de Títulos e Valores Mobiliários and Ágora Corretora de Títulos e Valores Mobiliários S.A. acting as intermediaries. Funds from the “Profit Reserves – Statutory” account in shareholders’ equity will be used, and the Board of Directors states that the buyback, within the approved limits, will not impair the fulfillment of obligations to creditors or the payment of mandatory dividends.
