On Tuesday, October 27, 2026, Hypera (HYPE3) approved a new share buyback program of up to 5,000,000 common shares of its own issue, which corresponds to up to 1.61% of the 309,655,401 shares outstanding on that date, without a reduction in capital stock. The shares may be used mainly to meet commitments with executives under long-term incentive programs over the next three years, and may also be held in treasury, cancelled, or sold in the market.
The maximum term for executing the buybacks is 18 months, starting on October 27, 2026 and ending on April 27, 2028. On this date, the company has 309,655,401 shares outstanding and holds 13,104 shares in treasury.
The buyback operations will be carried out on B3 at market prices, through Bradesco Corretora, Ágora, Itaú Corretora, XP Investimentos and/or BTG Pactual CTVM. Hypera may also enter into financial instruments for hedging its economic exposure to its own shares, and any shares referenced in these contracts will be counted in the balance of treasury shares.
The buyback program will be supported by capital reserves, profit reserves (except legal reserve, unrealized profit reserve and tax incentive reserve) and, if applicable, retained earnings for the year, subject to the availability of funds at the time of each acquisition. According to the board of directors, the expected cash outlay represents a small percentage of the company’s net cash and does not affect the fulfillment of obligations to creditors or the payment of mandatory dividends.
