On Monday, October 26, 2026, Profarma Distribuição (PFRM3) reported that its direct controlling shareholder, BMK Participações S.A., and its indirect controlling shareholder, Sammy Birmarcker, announced the execution of a Share Purchase Agreement between BPL Brazil Holding Company, as the seller, and BTC Participações Ltda., a company affiliated with BMK, as the buyer, for the acquisition of all Profarma shares held by BPL, equivalent to 38.18% of the company’s capital stock.
According to the material fact, completion of the transaction is still subject to approval by the Administrative Council for Economic Defense (CADE) and to fulfillment of the other conditions set forth in the agreement. If the transaction is completed, Profarma’s shareholders’ agreement, entered into on June 26, 2014 and amended on January 18, 2018, between BPL and BMK, with the participation of the company and other intervening parties, will be terminated.
