OceanPact (OPCT3) reported this Tuesday, July 28, 2026, that its wholly owned subsidiary Estaleiro Farol de São Tomé Ltda. has signed an agreement to acquire 100% of the shares of Dock Brasil Engenharia e Serviços S.A. for a base price of approximately R$ 119 million, on a cash-free, debt-free basis, subject to customary updates and adjustments.
Dock Brasil operates in vessel repair and dry docking, mainly through the Estaleiro Dock Brasil shipyard in São Gonçalo (RJ). Upon completion of the transaction, OceanPact Serviços Marítimos S.A. intends to expand its capacity to provide repair, maintenance, and dry-docking services for its own fleet and for third parties.
According to the announcement, part of the price may be withheld as a guarantee for the indemnification obligations set forth in the agreement. Closing of the transaction is still subject to the fulfillment of usual conditions precedent for transactions of this type, including the restructuring and extinguishment of certain Dock Brasil indebtedness.
