On Monday, October 19, 2026, Wiz Co Participações e Corretagem de Seguros S.A. (WIZC3) reported that it signed an agreement to sell to Banco Inter S.A. all of its stake in Inter Digital Corretora e Consultoria de Seguros S.A. (Inter Seguros), equivalent to 39,750 common shares and 39.75% of the company’s share capital, in a transaction valued at R$ 409,487,500.
According to the company, the stake now being sold was acquired in 2019 and since then has been part of Wiz Co’s strategy to diversify its business units. Once the transaction is completed, Banco Inter, already the controlling shareholder of Inter Seguros, will hold all of the shares representing the broker’s share capital, excluding treasury shares.
The purchase price of the shares will be adjusted by the variation of the CDI (Interbank Deposit Certificate) from October 2, 2026, inclusive, until the closing date of the transaction, exclusive, and will be paid in cash, in Brazilian currency, on that same date. The amount is not subject to adjustment mechanisms or to variable installments or earn-outs tied to Inter Seguros’ future performance.
The completion of the transaction is subject to customary conditions precedent, including approval of the increase of Banco Inter’s stake in Inter Seguros by the Central Bank of Brazil, within the scope of the Financial System Organization Department (DEORF), approval by the Administrative Council for Economic Defense (CADE), and the absence of any law or order preventing consummation. On the closing date, the parties will also execute the termination of the current Inter Seguros shareholders’ agreement and the amendment to the operating agreement among Wiz Co, Banco Inter, and Inter Seguros.
Wiz Co reported that the deal was approved by its board of directors at a meeting held on October 16, 2026 and that the funds raised from the sale will be kept in cash until further resolution by the management bodies. The company also stated that it will keep the market informed about the progress of the transaction and the fulfillment of the conditions for closing.
