According to the company, the decision was made in light of an order by the Court of the 21st Federal Civil Court of São Paulo, issued on October 23, 2026, in the lawsuit filed by shareholder Josephina III Fundo de Investimento em Participações against the Brazilian Securities and Exchange Commission (CVM), which provisionally suspended the enforceability of the decision of the CVM Board in Administrative Proceeding No. 19957.003474/2025-07, which had concluded that the tender offer was mandatory.

Oncoclínicas emphasized that, on the same date, it received a notice from shareholder Josephina III requesting the cancellation of the EGM, as well as an official letter from the CVM requesting disclosure of the court decision. The company also stated that it is not a party to the annulment action, but indicated that the decision can be consulted through a link provided in the notice.

The company reiterated its commitment to keep its shareholders and the market informed about any new material developments related to the matters mentioned.
