With the auction result, the Minimum Quantity and the Quorum for Deregistration set out in the offer notice were reached, allowing the continuation of the steps necessary for the cancellation of Helbor’s registration as a category “A” securities issuer and its consequent exit from B3’s Novo Mercado special listing segment.

HBR Realty also reported that, as of this date, it holds only the 83.16% equity stake in Helbor acquired through the tender offer and does not hold any other securities issued by the company or referenced to them.

According to the offer notice, from October 29 to November 28, 2026, Helbor’s remaining shareholders may sell their shares to HBR Realty by placing sell orders directly with the offeror or with the intermediary and guarantor institution. Settlement of these additional acquisitions will occur within up to 15 days after the end of this period.
