The unified exchange public offer had been launched on October 5, 2026, with the purpose of acquiring control and cancelling Helbor’s registration as a publicly held company and its exit from the Novo Mercado segment of B3.

With this acquisition, both the Minimum Quantity and the Quorum for Deregistration set out in the offer notice were met, allowing the continuation of the actions required for the cancellation of Helbor’s registration as a category “A” securities issuer and its exit from the Novo Mercado segment of B3.

Between October 29 and November 28, 2026, Helbor’s remaining shareholders may sell their shares to HBR by submitting sell orders directly to HBR or to Banco BTG Pactual S.A., the intermediary and guarantor institution of the offer, via the email addresses provided in the announcement.
