OranjeBTC (OBTC3) repurchased 4,361,453 common shares between August 31 and September 7, 2026, at an average price of R$ 5.3005 per share, disbursing R$ 23,117,712 in the period, which increased Bitcoin per Share by 3.12% and resulted in 142,189,980 common shares outstanding outside the treasury.

Of the total repurchased, 3,861,453 shares were acquired in a private, off-exchange transaction at R$ 5.17 per share from an original shareholder, and 500,000 shares were bought on the market at R$ 6.308 per share in response to increased supply after sales of about 6 million shares by a significant shareholder.

With the week’s buybacks, the company ended the period with 3,950 BTC in reserves, 2,778 satoshis per share and a Gross BTC Yield of 3.12% since August 30, 7.40% in 3Q26, 21.26% in 2026 and 24.16% cumulative.

The Board of Directors approved the cancellation of 22,000,000 common shares and 3,000,000 Class A redeemable preferred shares held in treasury and a new share buyback program of up to 14,000,000 common shares and 2,500,000 Class A preferred shares, as well as an update to the disclosure of Net Debt, which will now consolidate all debt minus short-term liquidity investments, excluding strategic reserve Bitcoin.

In the same announcement, OranjeBTC detailed the management compensation structure, based on a minimum two-year lock-up and a target of 150% cumulative BTC Yield, explained the characteristics of the Class A redeemable preferred shares and clarified that the Bitcoin per Share metric considers only common shares in circulation.
