Grupo Casas Bahia (BHIA3) reported in a statement on Tuesday, August 18, 2026, that after filing for court-supervised reorganization on August 16, 2026, it has been negotiating with several market participants to seek solutions for its financial situation, including the possible raising of funds through financing. According to the company, however, there is currently no definition regarding any transaction of this nature, whether in terms of size, term, or counterparty.

In the same document, the company states that it is evaluating alternatives for renegotiating debt payment terms and obtaining additional funds, such as tax settlement mechanisms to extend payments and the release of amounts deposited in court, including labor-related deposits, with the aim of freeing up cash. These alternatives, however, are still under review, and it is not possible to confirm whether they will be adopted or within what timeframe they could be implemented.

Casas Bahia highlights that information on the extension of payment terms to suppliers in the first quarter of 2026, free cash flow of R$ 800 million, and inventory reduction of R$ 1.15 billion in the second quarter of 2026 is included in the 1Q26 and 2Q26 earnings releases already disclosed to the market. The 2Q26 release also mentioned the closing of less profitable stores, Capex reductions, and a decrease in structural costs, but the company states that it still does not have consolidated estimates for the costs and savings from these measures.

The company’s management believes that the content of the news item cited by the CVM regarding potential debtor-in-possession (DIP) financing does not constitute a material fact, since there is no financing transaction for raising funds that has been contracted or approved, nor are there any defined term renegotiations or capital raises. According to the statement, aside from the reorganization filing itself and the earnings already disclosed, there is no concrete event that could influence trading in the company’s securities.

Casas Bahia states that, should there be a concrete definition or relevant developments regarding financing, debt renegotiations, tax settlements, or the release of court deposits, it will promptly disclose the information to the market and shareholders, in accordance with applicable laws and regulations.
