Americanas (AMER3), which is under court-supervised reorganization, reported that in 2026 it completed on August 12 the first partial closing of the sale of assets of the Hortifruti Natural da Terra (HNT) chain to Grupo Fartura de Hortifrut S.A. (Oba Hortifruti), a transaction with a total price of R$ 69.3 million for 10 loss-making stores in São Paulo. This first closing involves all the assets of 3 of the 10 HNT stores, with transfer of possession and assets to Oba Hortifruti, after approval of the transaction by CADE on June 1, 2026, without restrictions.
As a result of this closing, Oba Hortifruti made a payment of R$ 3,497,931.15, equivalent to 33.7% of the total value of the upfront tranche provided for in the transaction. After deduction of the M&A Cost Amounts, the remaining balance was deposited in the M&A Payments Account for extraordinary amortization of the debentures of Americanas’ 22nd issue of non-convertible debentures.
Under the agreement, the price due for the assets in this first closing, net of the upfront installment, will be paid in 24 equal, consecutive monthly installments, maturing on the 15th of each month, starting in the month immediately following the applicable closing date, adjusted by the positive change in the CDI from the closing date until payment.
Americanas stated that it continues to evaluate strategic opportunities aligned with its interests and those of its stakeholders and that it will keep the market informed of any new developments related to this transaction.
