Grupo Casas Bahia (BHIA3) reported that its Board of Directors approved, at a meeting held on August 16, 2026, the filing of a petition for judicial reorganization of the company and certain subsidiaries, submitted to the Court for Bankruptcies and Judicial Reorganizations of the Central Civil Court of São Paulo. The decision was also approved by the controlling shareholder, in accordance with applicable law.

In addition to the company, the following companies are included in the petition for judicial reorganization: ASAP Log - Logística e Soluções Ltda.; ASAP Log Ltda.; CNT Soluções em Negócios Digitais e Logística Ltda.; Cntlog Express Logística e Transporte Ltda.; Globex Administração e Serviços Ltda.; Cnova Comércio Eletrônico S.A.; Integra Soluções para Varejo Digital Ltda.; Casas Bahia Tecnologia Ltda.; and Indústria de Móveis Bartira Ltda.

According to the material fact, the petition was filed in a context of deteriorating economic and financial conditions faced by Casas Bahia, impacted, among other factors, by a challenging macroeconomic environment with high interest rates, restricted credit, increased financial costs, and pressure on consumption and working capital, as well as the failure to implement liquidity alternatives that had been under development, as described in Note 1 to the quarterly financial statements for the quarter ended June 30, 2026.

The company states that, during the reorganization process, it intends to maintain its operations across all existing channels, prioritizing service to clients and consumers, without material disruptions and with current levels of quality and service. The company also notes that the readjustment of its operating structure, focused on more profitable operations with higher contribution margins, combined with the reprofiling and extension of financial and operating liabilities, seeks a definitive solution to issues related to the capital structure.

Casas Bahia reported that it will keep shareholders and the market informed about material developments in the process and that the call for an Extraordinary General Meeting will be submitted to shareholders for ratification of the decision to file the petition, with the proposal to be disclosed in due course.
