Simpar (SIMH3) reported on Tuesday, August 18, 2026, the signing of purchase and sale agreements that make up a transaction to unwind cross-shareholdings. CS Infra S.A., a Simpar subsidiary, will buy from Terra Transportes e Participações S.A. 49% of the equity of CS Mobi Leste SP, while CS Brasil Transportes de Passageiros e Serviços Ambientais Ltda., also a Simpar subsidiary, will sell to MobiBrasil Sorocaba Ltda. its 50% stake in BRT Sorocaba. As a result, CS Infra’s stake in CS Mobi Leste SP will rise from 51% to 100%, and CS Brasil Transportes will no longer hold an interest in BRT Sorocaba.
Under the terms of the Transaction, CS Brasil Transportes will receive the balance of R$ 65.0 million, paid in two equal installments, the first at closing and the second 30 days later, both adjusted by 100% of the CDI, in addition to a final installment of approximately R$ 10.0 million to be paid within up to 12 months. Closing of the deal is subject to the fulfillment of obligations and conditions precedent, including approval by the Administrative Council for Economic Defense (CADE) and authorization from the granting authority.
In the Bloco Leste Consortium, CS Infra assumed, in September 2025, a public-private partnership to manage 13 urban terminals and 6 bus stations of the Expresso Tiradentes system in São Paulo, totaling more than 173 thousand m². The 30-year PPP calls for R$ 121 million in investments and guaranteed monthly consideration revenue of R$ 8.1 million, adjusted annually for inflation, as well as potential ancillary revenues such as store rentals, advertising, land leasing, and naming rights.
BRT Sorocaba is an urban passenger transport concession in the city of Sorocaba, which has received R$ 134 million in investments since 2017 for the implementation of a new public transport system. The system includes fleet management of 117 air-conditioned buses, security, IT systems and service quality, operating on more than 28 km of dedicated lanes and more than 68 km of BRT corridors, carrying more than 2 million people per month.
