On Tuesday, July 28, 2026, Itaúsa (ITSA4) reported that Aegea Saneamento e Participações S.A. approved a capital increase of between R$ 1.5 billion and R$ 2.1 billion in 2026, through the issuance of new common shares at a price of R$ 55.29 per share. The decision was made at Aegea’s general meeting held on the same date.

Considering Itaúsa’s current stake in Aegea, the company will be able to subscribe, within 30 days, an amount between R$ 730 million and R$ 1.5 billion, depending on the exercise of rights by the other shareholders. As a result, Itaúsa’s interest in Aegea’s total capital may rise from 13.27% to a range between 14.01% and 15.43%.

Itaúsa also entered into a Capitalization and Adjustment of Shareholding Interest Agreement in Aegea, which sets out a mechanism to protect investment returns by increasing its stake in the investee. This mechanism may be applied to the current capitalization and to the transactions mentioned in the market announcement dated February 9, 2026, particularly in connection with a potential initial public offering of Aegea shares, within the time frames and conditions set forth in the agreement.

According to Itaúsa, the increased stake in Aegea is aligned with the holding company’s strategy of efficient capital allocation. The company stated that it will keep shareholders and the market informed of further developments.
