On Tuesday, July 28, 2026, Banco Bradesco BBI S.A. executed definitive agreements to acquire an equity stake in Motiva Infraestrutura de Mobilidade S.A. (MOTV3), involving 300,149,832 common shares of the company, which represent approximately 14.86% of its capital stock and belong to Grupo Mover, in the context of the judicial reorganization plan of its companies.
According to a notice sent to Motiva, the period for exercising the preemptive right provided for in the shareholders’ agreement dated July 5, 2022 elapsed without any manifestation by the other signatories, which allowed acceptance of the binding offer submitted by Banco Bradesco BBI S.A. by shareholders Sucea Participações S.A. – In Judicial Reorganization and Sincro Participações S.A. – In Judicial Reorganization.
The closing of the transaction is still subject to obtaining the applicable governmental approvals and to the fulfillment of the other customary conditions precedent set forth in the definitive agreements signed between the parties.
