Gafisa (GFSA3) reported this Wednesday, July 22, 2026, that purchase and sale agreements were executed involving 100% of the shares of the companies that own the Fashion Mall and Jardim Guadalupe shopping malls, in Rio de Janeiro, in favor of special purpose entities of the group Glória Participações Imobiliárias S.A. According to the company, the final price of these transactions has not yet been fully defined.

Gafisa explained that it holds an indirect minority stake in the companies that own the two developments and that the agreements provide for price adjustments depending on negotiations with creditors directly linked to the assets. In the company’s view, the transactions allow it to focus on strategic assets, reducing investment commitments and liabilities related to assets that are not considered core in its portfolio.

Regarding the former Hotel Praia Ipanema, also mentioned in a news article, Gafisa clarified that it has not sold the asset. The property is involved in a legal dispute regarding the extinction of the debt with creditors, an issue that, according to the company, is still under review, with no transfer of the asset to third parties.

The company stated that once the discussions about the Hotel Praia Ipanema are resolved and the sale price of the Fashion Mall and Jardim Guadalupe shopping malls is set and effectively paid, it will inform its shareholders and the market in accordance with current regulations.
