OceanPact (OPCT3) reported that, on November 2, 2026, two Norwegian subsidiaries, CBO NW1 AS and CBO NW7 AS, signed purchase and sale commitments for the disposal of the vessels CBO Energy and CBO Wiser to a foreign group in the offshore marine support sector. The total price is US$ 86 mn, or US$ 43 mn per vessel. Both are PSVs (Platform Supply Vessels, vessels that support platforms) and are foreign-flagged. The transaction is aligned with the company's strategy of efficient capital allocation and active fleet management.

Of the total amount, 10% will be paid to the sellers as a down payment, within 10 business days after the agreements are signed. The balance will be paid on the closing date of the transaction, which is expected to occur by December 18, 2026.

The sale still depends on conditions precedent customary for this type of transaction. These include corporate approvals from both parties, the consent of the CBO Wiser's client, which has a contract in progress, and the other authorizations provided for in the agreements.

As a condition to complete the sale of the CBO Wiser, the vessel must be chartered on a bareboat basis (an arrangement in which the charterer operates the ship without the owner's crew) to Companhia Brasileira de Offshore (CBO), a wholly owned subsidiary of OceanPact. The term will correspond to the remaining period of the contract in force with the client. Thus, CBO will continue to operate the CBO Wiser for this client, with no change to the contractual terms.

OceanPact said it will keep shareholders and the market informed about the completion of the transaction.
