Embraer (EMBJ3) announced this Friday, October 30, 2026, that it will carry out a split of its American Depositary Shares (ADSs) and change the ratio between ADSs and common shares. The ratio will change from the current one, in which 1 ADS represents 4 common shares, to a new ratio in which 1 ADS will represent 1 common share, through an amendment to the company’s Third Amended and Restated Deposit Agreement.
Each holder of record of ADSs at the close of trading on November 9, 2026, the record date set by Embraer, will receive three additional ADSs for each ADS held, after the close of trading on November 13, 2026. The company reported that trading in the ADSs already adjusted for the split and under the new ratio is expected to begin at the opening of the market on November 16, 2026.
According to the statement, the change in the ratio will not affect Embraer’s underlying common shares, and no new common shares will be issued in connection with this change. The company also emphasized that there will be no change in the economic value of ADS holders’ ownership stake.
Embraer’s ADSs will continue to be traded on the New York Stock Exchange (NYSE) under the ticker symbol “EMBJ”. JPMorgan Chase Bank, N.A., the depositary institution for Embraer’s ADS program, will be responsible for implementing the change in ratio.
