Boa Safra Sementes (SOJA3) approved, at a meeting of the Board of Directors held on October 27, 2026, the fifth share buyback program of its own issuance, starting on November 15, 2026, and lasting up to 12 months, until November 15, 2027. The program allows the acquisition of up to 2,894,814 common shares, equivalent to 2.04% of the total shares issued and 5.00% of the free-float shares on the date of the announcement.
According to the company, the purpose of the program is to maximize value creation for shareholders by managing the capital structure. The acquired shares may be held in treasury for subsequent cancellation, sale and/or use in share-based compensation for management, in addition to other purposes permitted by law. The document highlights that the buyback may result in potentially higher returns in dividends and/or interest on equity (Juros sobre Capital Próprio), since treasury shares do not receive distributions, and in a possible increase in shareholders’ ownership stake in the event these shares are canceled.
On the date of the material fact, Boa Safra had 57,902,640 common shares in circulation, corresponding to 40.804% of the common shares issued by the company, and 840,790 shares held in treasury, equivalent to 0.593% of the common shares issued.
The program will be carried out with the company’s available funds which, based on the quarterly information for the six months ended June 30, 2026, total R$ 18,507,960.40, composed of capital reserves and realized profit for the current fiscal year. The actual repurchase of the total number of shares envisaged will depend on the availability of funds at the time of each acquisition.
The buyback operations will be carried out on B3 at market prices, and Boa Safra’s Executive Board will define the dates and quantities of shares to be acquired within the approved limits and deadlines. XP Investimentos Corretora de Câmbio, Títulos e Valores Mobiliários S.A. will act as the intermediary institution for the transactions.
