M. Dias Branco (MDIA3) announces acquisition of 80% of Grespan for R$ 208 million

On Wednesday, October 21, 2026, M. Dias Branco (MDIA3) reported that its subsidiary Jasmine Indústria e Comércio de Alimentos Ltda. signed an agreement to acquire 80% of the share capital of Grespan Pães Congelados S.A. for R$ 208.4 million, to be paid in full on the closing date of the transaction.

Of the total amount, R$ 2.5 million will be withheld for any net debt and working capital adjustment, which will be carried out after closing. The company stressed that the completion of the transaction is still subject to the fulfillment of obligations and customary conditions precedent for transactions of this type and that further information will be duly reflected in its financial statements in due course.
