On Friday, September 11, 2026, Movida Participações S.A. (MOVI3) reported that, as part of the capital increase approved on July 30, 2026, 21,208,251 new common shares were subscribed at an issue price of R$ 6.65 per share, totaling R$ 141,034,869.15. With this, the company reached the minimum subscription of 13,963,974 new shares, equivalent to R$ 92,860,427.10, required for the ratification of the capital increase.

According to the announcement, Movida’s capital increase reached 92% of the maximum subscription amount. Under the terms of an agreement entered into with SIMPAR S.A. and BNDES Participações S.A. – BNDESPAR, the latter exercised its subscription rights and will increase its equity interest in Movida from 5.95% to 8.32% of the share capital after the capital increase is ratified.

Considering that the approved maximum issuance was 22,929,351 new shares, 1,721,100 unsubscribed shares remained, classified as leftovers. These leftovers may be subscribed, between September 14 and 18, 2026, by shareholders or assignees who expressed interest in reserving leftovers during the preemptive rights exercise period.

Each investor who expressed interest may subscribe to 17.704052552% in leftovers over the number of new shares already subscribed, which corresponds to the right to subscribe to 0.17704052552 new share for each 1 share subscribed during the preemptive period. It will also be possible to request additional leftovers, which will be apportioned among interested parties if demand exceeds the available quantity; there will be no auction of leftovers, since the minimum subscription has already been reached.

The payment for leftovers and additional leftovers will be made in cash, in Brazilian currency, at the price of R$ 6.65 per share, and interest on equity credits may not be used for this payment. Once the procedures for subscribing the leftovers are completed, the company’s Board of Directors will meet to deliberate on the ratification of the capital increase.
