Tupy (TUPY3) reported that the Board of Directors, at a meeting held on June 26, 2026, approved the raising of up to R$ 600 million through the BNDES – Brasil Soberano Program, as well as the preparation of Special Purpose Financial Information (special financial statements) to meet legal and regulatory obligations to its shareholder BNDES Participações S.A.
The Board also approved the strengthening of the company’s Compliance structure, the update of the list of officers of controlled companies and the execution of resource distribution transactions among companies wholly controlled by Tupy.
The Executive Board is authorized to perform all acts necessary for the implementation of the approved strategy, including contracting financing, sureties and other applicable guarantees, as well as signing the instruments and documents required for its formalization.
At the same meeting, the Board approved the 2026 grants related to the 2025 fiscal year, under the Long-Term Incentive Plan approved at the general meeting held on April 29, 2022, and monitored the execution of the goals and indicators applicable to the Executive Board.
The Board also held a closed session with the Chief Executive Officer to discuss matters related to the start of his term, including preliminary views on the business and the progress of diagnostic and integration efforts.
