On Friday, July 24, 2026, Azevedo & Travassos (AZEV3, AZEV4) reported that its subsidiary Azevedo & Travassos Investimentos S.A. completed its investment cycle in the concessionaire Rota Verde Goiás SPE S.A., in the total amount of approximately R$ 191.6 million, through the closing of the structured transaction with Jive Distressed IV Fundo de Investimento em Participações Multi–Responsabilidade Limitada.
The structured transaction originated from the 1st issuance of convertible debentures (debt securities that can be converted into shares), with real collateral and additional surety guarantees, carried out by A&T Investimentos. The funds were contributed in two disbursements: the first for R$ 157,357,356, as disclosed in the material fact dated December 12, 2025, and a supplementary disbursement of R$ 34,276,321, disclosed on June 5, 2026, totaling R$ 191,633,677.
With the Closing Term signed on July 24, 2026, A&T Investimentos proceeded with the full redemption of the debentures issued, extinguishing the amount of R$ 191,633,677. As a form of settlement, the common shares of Rota Verde held by A&T Investimentos were transferred to the Jive Fund, subject to regulatory approvals, including consent from the National Land Transportation Agency (ANTT).
According to the company, closing the transaction is aligned with the guideline of divesting, in a disciplined manner, mature portfolio assets, rebuilding capital and execution capacity for reallocation into new projects, with emphasis on Rota Mogiana, identified as A&T Investimentos’ main growth avenue. The company states that the subsidiary remains active in portfolio management, continuously assessing investment and divestment opportunities.
