Oncoclínicas do Brasil Serviços Médicos S.A. (ONCO3) reported on Friday, September 11, 2026, that on September 9, 2026, it received a notice from Josephina III Fundo de Investimento em Participações regarding the initiation, on August 21, 2026, of CAM Arbitration Procedure No. 332/26 at the Câmara de Arbitragem do Mercado (Market Arbitration Chamber), involving shareholder funds of the company.
According to the notice, the arbitration arises from a dispute related to the corporate reorganization carried out in November 2024 in the investment structure of the Josephina funds in Oncoclínicas. The funds Latache IV Fundo de Investimento Financeiro Multimercado Crédito Privado, Nova Almeida Fundo de Investimento Financeiro Multimercado Crédito Privado, and Latache MHF I Fundo de Investimento Financeiro em Ações assert the obligation to carry out a public tender offer for shares (Mandatory Tender Offer under the bylaws), based on Article 39 of the company’s bylaws, an obligation that is contested by Josephina III.
In the arbitration proceeding, Josephina III seeks a declaration that the obligation to carry out the Mandatory Tender Offer under the bylaws is unenforceable, either due to the alleged inapplicability of the caput of Article 39 of the bylaws or because of the exceptions set forth in paragraphs 7, item (ii), and 8 of the same article. Oncoclínicas is not a party to the proceeding and stated that it will keep its shareholders and the market informed about any relevant developments.
