On Monday, September 7, 2026, CM Hospitalar (Viveo, VVEO3) announced that it had received from Banco BTG Pactual a commitment to exercise the maximum subscription rights to remaining shares in the capital increase approved on June 26, 2026, of up to R$ 869,761,072.80, through the issuance of up to 966,401,192 new common shares at a price of R$ 0.90 per share. The commitment stipulates that BTG and its affiliates may subscribe remaining shares, including additional ones, subject to a participation limit of 19.9% of the company’s total and voting share capital after the capital increase is ratified.

During the preemptive rights period of the capital increase, BTG, on its own behalf and/or through its affiliates, subscribed 11,123 common shares, paid in cash in Brazilian currency, and requested a reservation of remaining shares. The shares that may be subscribed under the commitment will be paid in via capitalization of credits arising from debentures of the 4th issuance (CMPH14), the 5th issuance (VVEO15), and the 6th issuance (VVEO16), all issued by Viveo and currently outstanding.

The commitment is limited to the rights that may be allocated to BTG as a result of this initial subscription and does not constitute a commitment to subscribe the totality of the remaining shares, nor does it guarantee that the maximum amount of the capital increase will be reached. The number of shares that may be subscribed will depend on the availability of remaining shares, subscriptions by other investors, applicable apportionment rules, and the 19.9% ownership cap. The commitment is subject, among other conditions, to unconditional approval by the Administrative Council for Economic Defense (CADE) of the acquisition of the resulting equity interest and to the compatibility of the subscription deadlines with the final and unappealable decision.

The remaining-shares subscription period is currently scheduled for September 9 to 16, 2026, but BTG has requested that the deadline to exercise the subscription right for the remaining shares be extended by at least 65 days from September 7, 2026. It will be up to the board of directors to decide on any extension and related adjustments, and so far there has been no change to the deadlines or procedures. The commitment to subscribe remaining shares will remain in effect until November 11, 2026, and may be extended by written notice from BTG, provided that the period for subscribing the remaining shares so permits.

Viveo highlighted that the minimum subscription of 474,444,722 shares was reached during the preemptive rights period, as disclosed on September 2, 2026. The ratification of the capital increase, even if only partially subscribed, does not depend on the reported commitment or on the fulfillment of its conditions, although this commitment may result in additional subscriptions, the volume of which cannot be determined at this time.
