This Friday, October 16, 2026, Unifique Telecomunicações (FIQE3) reported that on October 15, 2026, after the market close, it received a request from shareholders who jointly hold more than 10% of the shares in circulation for the calling of a special meeting of holders of shares in circulation, pursuant to Article 4-A of the Brazilian Corporations Law, in order to deliberate on carrying out a new valuation to determine the value of the company’s common shares within the scope of the unified public tender offer for acquisition of shares announced on October 2, 2026, aimed at converting the company’s registration as a category “A” publicly held company to category “B” and delisting from the Novo Mercado.

According to the material fact notice, Unifique’s Board of Directors will meet in due course to review the request, the full text of which is attached to the notice, and to deliberate on calling the special meeting.

As a result of the request to call this special meeting, the registration process for the public tender offer for acquisition of shares before the Brazilian Securities and Exchange Commission (CVM) is suspended as of the date of the material fact notice, based on Article 40, item I, of CVM Resolution 215.

In the attachment sent to the company and to the CVM, the requesting shareholders, who together hold more than 10% of the total common shares in circulation, detail the grounds for their belief that there are flaws and inaccuracies in the valuation report prepared by Apsis Consultoria Empresarial Ltda., including questions regarding the cost of equity, the set of comparable companies, the use of multiples per subscriber and EV/EBITDA (enterprise value divided by EBITDA, which is earnings before interest, taxes, depreciation and amortization), the adoption of the 12‑month volume‑weighted average price (VWAP) as a fair price criterion and the assumptions used in the discounted cash flow.

The shareholders also record in the document that they reserve the right to call the special general meeting of holders of shares in circulation should the request not be granted by the company within the eight‑day period set forth in Article 4-A of the Brazilian Corporations Law.
