Grupo Casas Bahia (BHIA3) announced in a statement on Saturday, August 16, 2026, changes in its statutory executive board, board of directors, and certain committees of the company. On August 16, 2026, the Board of Directors received the resignation of Fábio Eduardo de Pieri Spina from the position of legal and tax vice president of the company, effective as of August 17, 2026, including any positions in its subsidiaries.

Fábio Spina had been with the company since 2024, having led internal restructuring processes in the legal area, and will continue to work as a consultant to Grupo Casas Bahia.

The company reported that the Legal, Tax, Compliance and Internal Controls areas will henceforth be led, as of August 17, 2026, by the new vice president, Sírley Lima. The executive has more than 20 years of experience in the legal market, with stints at companies such as Heineken, Pernod Ricard, Souza Cruz (BAT) and EY, in addition to a Law degree from Estácio, an MBA from Fundação Dom Cabral, and postgraduate degrees in Corporate Law from FGV and in Neuroscience and Behavior from PUCRS.

Grupo Casas Bahia also announced that, at a meeting held on August 16, 2026, the Board of Directors recorded the receipt of the resignations of two board members, Jackson Medeiros de Farias Schneider and Rogério Paulo Calderón Peres. It was recorded that Cláudia Quintella Woods will assume the position of member of the Statutory Audit Committee, replacing Rogério Calderón, and that André Luiz Helmeister will assume the position of member of the Finance Committee, also replacing Rogério Calderón.

Despite leaving the Board of Directors, Jackson Schneider will remain as coordinating member of the company’s Audit, Risk and Compliance Committee and of the Independent Investigation Committee. Sírley Lima’s résumé will be available for consultation in Grupo Casas Bahia’s Reference Form.
