Americanas (AMER3), which is under court-supervised reorganization, recorded in 2026 a share capital increase of R$ 0.20, after the exercise of 20 Subscription Warrants issued in the context of the capital increase approved in May 2024. The shares issued result from warrants exercised in windows that ended on May 11 and 26, June 11 and 27, and July 10 and 27, 2026.
With the approval by the board of directors, Americanas’ share capital increased to R$ 39,918,282,260.30, represented by 200,245,298 common shares, all book-entry, registered, and with no par value. One common share was issued for each 1 Subscription Warrant exercised, totaling 20 new shares fully subscribed and paid in.
The Subscription Warrants were issued as an additional benefit to subscribers of the shares in the 2024 capital increase, with the aim of aligning these investors’ interests with the company’s long-term objectives under the Judicial Reorganization Plan. The shares resulting from the exercise of the warrants will be entitled, on equal terms with the other shares already outstanding, to all benefits granted by Americanas.
