On Friday, August 7, 2026, Iguatemi S.A. (IGTI11) reported that its subsidiaries signed a binding proposal to sell stakes in 5 real estate assets from its portfolio, together with the TRX Real Estate FII fund. The total value of the transaction is R$ 876.1 million, corresponding to an average cap rate of 7.3% based on the last twelve months’ operating result (NOI).

The assets involved are: 36.00% of Iguatemi Alphaville, 10.00% of Iguatemi Ribeirão Preto, 10.00% of Iguatemi São José do Rio Preto, 35.55% of Praia de Belas and 36.00% of I Fashion Outlet Novo Hamburgo. Even after the transaction is completed, Iguatemi will remain responsible for managing these properties.

The price will be paid as R$ 569.5 million on the closing date, of which R$ 350.5 million in TRXF11 fund units and R$ 219.0 million in cash. There will also be installments of R$ 131.4 million in cash on the first anniversary of closing and R$ 175.2 million in cash on the second anniversary, both adjusted by the CDI variation.

The completion of the deal is subject to the fulfillment of usual precedent conditions for this type of transaction. The company stated that it will keep its shareholders and the market informed of any material developments regarding the transaction.
