OceanPact Serviços Marítimos (OPCT3) reported on Monday, July 27, 2026, that the Office of the Superintendent General of the Administrative Council for Economic Defense (CADE) has approved, without restrictions, the concentration act related to the business combination between the company and CBO Holding S.A., in accordance with the Protocol and Justification of partial spin-off and mergers involving the two companies.
According to OceanPact, the decision by the Office of the Superintendent General may still be subject to an appeal by an interested third party or to a petition for review by members of CADE’s Tribunal, in accordance with the regulations in force.
The company states that, once the approval becomes final, the boards of directors of OceanPact and CBO will meet to confirm compliance with all suspensive conditions set forth in the Protocol and Justification and to define the closing date of the transaction, which will be disclosed to the market in due course.
OceanPact stated that it will keep its shareholders and the market informed about the relevant steps related to the transaction, in accordance with the law and CVM regulations.
