Diagnósticos da América (DASA3) completed on Monday, July 20, 2026, the process for its 23rd (twenty-third) issuance of simple, non-convertible debentures, in the total amount of R$ 700 million. The offering was made exclusively to professional investors in the Brazilian market.
A total of 700,000 (seven hundred thousand) debentures were issued, in a single series, with a par value of R$ 1,000 each on the issuance date of July 20, 2026. The bonds are unsecured, registered, and book-entry securities, and the entire offering was placed under a firm-commitment underwriting regime.
The debentures will be remunerated at an interest rate equivalent to 100% of the DI Rate (the average rate of one-day interbank deposits), plus a 2.75% annual spread, calculated on the basis of 252 business days. The remuneration will be calculated on an exponential and cumulative basis, proportional to the number of business days between the payment dates set forth in the indenture.
The issuance was coordinated by Banco Bradesco BBI as lead coordinator, along with Banco Santander (Brasil), UBS BB Corretora, and Caixa Econômica Federal as coordinators. The debentures received a “AA(BRA)” national scale rating from Fitch Ratings Brasil on July 2, 2026.
As this offering was restricted to professional investors only, the transaction was registered under the automatic registration procedure and is subject to resale restrictions under CVM regulations. No prospectus or offering memorandum was prepared, and the issuance documents were not previously reviewed by the CVM or ANBIMA.
