On Monday, July 27, 2026, Sabesp (SBSP3) and EMAE reported in a joint statement that the extraordinary general shareholders’ meetings of both companies, called for July 30, 2026, remain confirmed. The EGMs are expected to deliberate on the merger by Sabesp of all EMAE shares not already held by Sabesp.
According to the statement, a shareholder holding non-voting preferred shares of EMAE submitted to the Brazilian Securities and Exchange Commission (CVM) a request to postpone the advance notice period for EMAE’s EGM, which is still under review by the regulator, with EMAE’s response already submitted. The same shareholder also filed a preliminary injunction lawsuit against Sabesp and EMAE, requesting the suspension of EMAE’s EGM or, alternatively, the suspension of the effectiveness of its resolutions, should the decision be issued after the meeting is held.
The companies emphasized that, as of the date of the statement, there is no decision suspending, interrupting, or postponing the Sabesp and EMAE shareholders’ meetings scheduled for July 30, 2026, and that they are taking the necessary measures to ensure that the EGMs are held and that their resolutions are fully effective. Sabesp and EMAE also reported that they will keep shareholders informed of any material changes related to these processes.
