On Tuesday, October 20, 2026, Axia Energia (AXIA3) announced that the redemption of its Class C preferred shares (PNC) will be carried out at a price of R$ 58.72 per share, equivalent to the closing price of the common shares in the trading session of October 19, 2026. The record date will be the shareholding position at the end of the day on October 21, 2026, and payment will be made in a single installment, in Brazilian currency, on November 6, 2026.
For holders of American Depositary Receipts (ADRs), payment will be made within up to 7 business days after the redemption payment to holders of PNC shares traded on B3.
Investors resident in Brazil may be subject to income tax and other taxes on any gains from the redemption, in accordance with the legislation applicable to each investor category, and shareholders are responsible for assessing the applicable taxation and for any payment of taxes due.
For non-resident investors, the company may withhold income tax at source (IRRF) on capital gains, calculated as the positive difference between the redemption value per share and the acquisition cost of the PNC shares. The applicable rates are 15%, between 15% and 22.5%, or 25% for shareholders resident in countries or jurisdictions with favorable tax treatment, in accordance with Brazilian Federal Revenue Service regulations, and the withheld amount will be deducted from the amount to be paid.
Non-resident shareholders must send, by 6:00 p.m. on October 27, 2026, by e-mail to [email protected], an Excel spreadsheet with information on the acquisition cost of the PNC shares, accompanied by supporting documentation. If they do not send the information and documents within the deadline, the acquisition cost will be considered as zero and, if they do not provide the country or jurisdiction of tax residence, a 25% rate will be applied on the capital gain.
