Grupo GPS (GGPS3) reported on Monday, September 21, 2026, that its Board of Directors approved, at an extraordinary meeting held on June 11, 2026, the basic parameters for the acquisition, by its subsidiary Top Service Serviços e Sistemas S/A, of 80% of the equity interests of Qualidados Consultoria e Sistemas Ltda., in a transaction referring to the twelve-month period ended August 31, 2026.
Qualidados provides engineering consulting services, project management and supervision, and industrial shutdown management, operating in the states of Minas Gerais, Bahia, Rio de Janeiro and São Paulo, and recorded gross revenue of approximately R$ 272.4 million in the twelve-month period ended August 31, 2026.
The equity purchase agreement was executed on this date, and completion of the acquisition is still subject to the fulfillment of obligations and customary precedent conditions for this type of transaction, including submission to the Administrative Council for Economic Defense (CADE), when applicable.
According to the company, since the transaction was carried out through its subsidiary Top Service, the acquisition does not require a resolution of the general shareholders’ meeting, pursuant to Article 256 of the Brazilian Corporation Law. Grupo GPS stated that it will keep shareholders informed of any material developments related to the transaction.
