On Thursday, August 6, 2026, Empreendimentos Pague Menos (PGMN3) announced its 9th issuance of simple debentures (debt securities issued by companies), non-convertible into shares, unsecured, in a single series, in the total amount of R$ 350 million. The transaction will be carried out through a public offering under the automatic registration procedure, intended exclusively for professional investors, with a unit par value of R$ 1,000 per debenture, totaling 350,000 securities, with an issuance date of August 25, 2026.

According to the notice, the ISIN code of the debentures will be BRPGMNDBS091 and the issuance was assigned a ‘AA-(bra)’ credit rating by Fitch Ratings Brasil Ltda. on August 6, 2026. Pentágono S.A. Distribuidora de Títulos e Valores Mobiliários will act as trustee for the issuance, while Banco Bradesco BBI S.A. will be the lead coordinator of the offering.

Pague Menos and the lead coordinator will adopt a process of collecting investment intentions, called a bookbuilding process (an issuance process in which investor demand is collected to determine the remuneration rate), with no minimum or maximum lots, to jointly set the final remuneration rate of the debentures, as provided for in the indenture.

The indicative timetable provides for August 6, 2026, the filing of the registration request for the offering with the CVM and the publication of the market announcement; on August 7, 2026, the start of the roadshow; on August 27, 2026, the bookbuilding process; on August 28, 2026, the registration of the offering with the CVM and the publication of the offering commencement announcement; and on August 31, 2026, the financial settlement of the debentures. The latest date for publication of the offering closing announcement will be up to 180 days from the publication of the commencement announcement.

The notice highlights that, as this is an offering intended only for professional investors and subject to the automatic registration procedure, the publication of a prospectus and offering fact sheet was waived, and that the debentures will be subject to resale restrictions set forth in the applicable regulations.
