Banco Pine (PINE3, PINE4) reported this Tuesday, August 4, 2026, the seventh exercise period for the subscription warrants related to the capital increase approved in November 2024. Each subscription warrant entitles the holder to purchase 1 common share and 1 preferred share of the company.

The warrants may be exercised between September 1 and 30, 2026, subject to B3 and registrar procedures. For warrants held in custody at B3, shareholders must express their intention to exercise by September 29, 2026; for warrants held with the registrar, the deadline is September 30, 2026.

The exercise price of each subscription warrant was set at R$ 8.86, an amount corresponding to the sum of the issue prices of 1 new common share and 1 new preferred share. Payment must be made in Brazilian currency, through the custody agents at B3 or directly to the registrar, depending on where the warrant is held in custody.

The shares issued after the exercise of the warrants will be approved by the Board of Directors at a meeting to be held after the end of the seventh exercise period, if there is demand. The credit date of the new shares will be disclosed in a new notice to shareholders, and the securities will carry the same rights as the existing shares, including full participation in future dividends and interest on equity (Juros sobre Capital Próprio).

The subscription warrants may only be exercised during the periods defined between September 2026 and March 2028; at the end of the thirteenth exercise period, any unexercised warrants will automatically expire.
