Banco Pine (PINE3, PINE4) reported on Tuesday, August 4, 2026, that the third exercise period for the warrants issued as part of the capital increase approved in November 2025 will take place from September 1 to 30, 2026. Each warrant entitles its holder to subscribe 1 common share and 1 preferred share of the bank.
The exercise price of each warrant will be R$ 17.04 on the exercise date, an amount corresponding to the sum of the issue prices of 1 new common share and 1 new preferred share. The warrants may only be exercised in the windows provided for up to the thirteenth exercise period, which ends in March 2029, and any warrants not exercised by the end of this period will be automatically extinguished.
In the third period, holders whose warrants are held in custody at B3 must indicate their intention to exercise them between September 1 and 29, 2026 through their custodian agents. For warrants held with the bookkeeping agent, the deadline runs until September 30, 2026, following the procedures indicated by the bookkeeping agent.
After the end of the third warrant exercise period, Banco Pine’s board of directors may hold a meeting to approve the capital increase resulting from such exercise, if any subscriptions occur. The shares issued will be credited to the subscribers’ accounts on a date to be announced in a new notice to shareholders, and will carry the same rights as the existing common and preferred shares, including full participation in dividends and interest on equity (Juros sobre Capital Próprio) that may be declared.
