Raízen (RAIZ4) reported this Thursday, July 30, 2026, that the Out-of-Court Reorganization Plan submitted on June 5, 2026 was ratified by the 3rd Court of Bankruptcies and Judicial Reorganizations of São Paulo. The plan was adhered to by 81.6% of the company’s unsecured financial creditors and now reprofiles approximately R$ 61.4 bn in unsecured financial debt contracted with financial institutions and issued in the local and international capital markets.
With the ratification, the reprofiling of these debts becomes effective and binding on all creditors subject to the plan, in accordance with bankruptcy and reorganization laws. According to the company, the agreement seeks to reconcile the Raízen Group’s short-term liquidity needs with a capital structure considered adequate and sustainable over the long term.
The company stated that it is moving forward with preparatory steps to implement the plan, including the conversion of part of the claims of creditors who choose Option A into an equity stake in the company, in the form of units (a package of more than one type of security traded together), as well as the issuance of new secured debt securities. A capital increase of between R$ 3.5 bn and R$ 4.0 bn is also planned, to be paid in cash by Shell Brasil Petróleo Ltda. and, if it adheres, by Aguassanta Participações S.A.
The plan also involves corporate reorganizations, the separation of the fuel distribution and energy businesses, asset divestments and other related measures. Raízen reported that, in compliance with the plan, it will in due course make available to the subject creditors the materials for choosing payment options, with rules and procedures for exercising these choices.
