On Wednesday, July 22, 2026, Oncoclínicas do Brasil Serviços Médicos S.A. (ONCO3) reported that its board of directors approved the binding offer submitted by Al Faisaliah Group Holding Company (CJSC) and Advanced Drug Company for Pharmaceuticals (AFG) to acquire the company’s entire stake in the joint venture Specialized Medical Treatment Company (SMTC) in Saudi Arabia. The total value of the transaction is approximately US$ 6,550,000 (six million, five hundred and fifty thousand U.S. dollars), to be paid in cash upon completion of the transaction.
According to Oncoclínicas, the sale of its stake in SMTC is aligned with the strategy of streamlining its portfolio, reducing leverage, and focusing efforts on oncology operations in Brazil. Once completed, the company will fully terminate its participation in the joint venture in Saudi Arabia, obtaining immediate liquidity and eliminating exposure to future capitalization commitments to SMTC, as well as operational and foreign-exchange risks related to the international operation.
The completion of the transaction is still subject to the signing of definitive documentation and the fulfillment of customary conditions precedent for this type of deal, including obtaining the necessary regulatory approvals in the Kingdom of Saudi Arabia. Oncoclínicas stated that it will keep its shareholders and the market informed about any relevant developments related to the transaction.
