Axia Energia (AXIA3) completed on Wednesday, July 15, 2026, the sale of its entire 49% minority stake in special purpose entities (SPVs) for electricity transmission to GEBBRAS Participações, receiving R$ 451.4 million in the transaction. The company reported that the closing took place after the fulfillment of the conditions set out in the notice released on May 4, 2026.
The divested interests involve the SPVs Goiás Transmissão S.A., MGE Transmissão S.A., Transenergia Renovável S.A. and Transenergia São Paulo S.A., whose transmission assets are located in the states of Goiás, Minas Gerais, Espírito Santo, Mato Grosso, Mato Grosso do Sul and São Paulo. These lines total approximately 1,086 km in length, with concession terms between 2039 and 2040.
According to estimates released by Axia Energia (AXIA3) for the group of assets, net revenue expected for 2027 is R$ 218 million and EBITDA (earnings before interest, taxes, depreciation and amortization) estimated for 2027 is R$ 176 million, considering the reduction in RAP already provided for in the contract. Net debt projected for 2025 is R$ 414 million, figures that may vary depending on future assumptions and conditions.
The company emphasized that the completion of the sale is aligned with the objective of optimizing minority stakes, maintaining discipline in capital allocation and simplifying its structure, in line with its Strategic Plan.
