Biomm (BIOM3) released on Monday, July 20, 2026, a notice to the market to clarify articles published by the Metrópoles portal on July 17 and 20, 2026, about loans granted by Banco Master to certain shareholders of the company.

In the document, Biomm states that it does not have and has not had in the past any commercial relationship with Banco Master. According to the company, the loans mentioned in the reports were taken out by individual shareholders, independently from the company.

The company further reports that the Cartago Fund, mentioned in the articles, became a Biomm shareholder in 2024, joining a group of more than 1,500 shareholders. According to the statement, the fund did not hold a seat on the Board of Directors during the period in which it was a shareholder, up to April 2026, and had no influence on management decisions.

Unlike other companies mentioned in the reports, Biomm states that it does not have and has never had a checking account or investment account at Banco Master, has not acquired securities issued by the bank, and has not maintained any other type of relationship with the institution. The company adds that it does not have a controlling shareholder and that the current largest shareholder bought most of its stake from bank BRB, in a transaction carried out on B3.

Biomm reiterates in the statement its commitment to transparency and reports that it remains available to the market for clarifications through its Investor Relations department.
