On Tuesday, July 14, 2026, Engie Brasil Energia (EGIE3) approved a capital increase through a primary public share offering in the amount of R$ 8,359,521,862. The transaction, carried out in 2026, entails the issuance of 274,082,684 new common shares at R$ 30.50 per share, intended exclusively for professional investors, with 100% subscription priority for current shareholders.
With the capital increase resulting from the offering, Engie Brasil’s share capital will rise to R$ 15,223,228,656.52, divided into 1,416,381,520 common shares, all registered and book-entry, with no par value. The net proceeds raised will be fully allocated to the company’s capital account.
The company reported that the initial amount of 178,718,109 shares offered was increased by 53.4%, with the issuance of 95,364,575 additional shares under the same conditions. The shares from the offering will begin trading on B3 on July 16, 2026, with physical and cash settlement scheduled for July 17, 2026.
As part of the transaction, Engie Brasil Participações (EBP) committed to invest R$ 5,744,000,000, corresponding to the value of its stake in Jirau Energia. The shares subscribed by EBP will be paid in through the contribution of Jirau’s shares, valued at R$ 5,744,000,000 based on a valuation report approved at a shareholders’ meeting held on July 2, 2026.
Engie Brasil also emphasized that there will be no over-allotment option or price stabilization procedure after the offering, which may lead to greater volatility in the shares in the secondary market. The transaction received automatic registration from the CVM on July 14, 2026, and was not subject to prior review by the regulator or self-regulatory organizations.
