On Wednesday, September 23, 2026, Hypera S.A. (HYPE3) reported that the Board of Directors approved the declaration of interest on equity (JCP, a form of profit distribution that provides a tax benefit to the company) for the fiscal year ending December 31, 2026, in the gross amount of R$ 0.26304 per common share, subject to withholding income tax at source, totaling R$ 185,179,096.00 based on the net income for the period.

The net amount to be distributed as JCP will be credited to the total dividends that may be declared for the 2026 fiscal year, in accordance with applicable legislation, regulation, and the company’s Bylaws.

Payment of the interest on equity will be made by the end of the 2027 fiscal year, on a date still to be defined by Hypera Pharma, based on the shareholder position registered on September 28, 2026. The shares will trade “ex-interest on equity” as of September 29, 2026, inclusive, with no monetary adjustment to the amount between the date of this notice and the payment date.

Payment will be made to shareholders with updated registration details at Banco Bradesco S.A. by means of credit to their bank accounts; to shareholders with shares under fiduciary custody or in the Central Depositary of B3 S.A. – Brasil, Bolsa, Balcão, through their respective brokerages; and, for those with outdated records, upon visiting a Banco Bradesco branch to update their information and receive the amounts.

Shareholders exempt from or immune to withholding income tax must submit supporting documentation to Banco Bradesco S.A., Shares and Custody Department, Asset Bookkeeping, in Osasco (SP), by October 5, 2026.
