CVC Brasil Operadora e Agência de Viagens (CVCB3) has completed the bookbuilding process (issuance process in which investor demand is assessed) for its public offering of simple debentures, non-convertible into shares, of the type with floating guarantee and additional real guarantee, in a single series, relating to its 7th issuance. The total issuance amount was set at R$ 370,027,187.00, corresponding to 370,027,187 debentures, in an offering carried out under the automatic registration procedure and intended exclusively for professional investors.
According to the announcement, 79,972,813 debentures were canceled due to the partial distribution provided for in the deed of issuance. The transaction has Banco Citibank S.A. as lead underwriter and Pentágono S.A. Distribuidora de Títulos e Valores Mobiliários as trustee for the debenture holders.
The company reports that the debenture offering is subject to resale restrictions set forth in CVM Resolution 160 and that the publication of a prospectus and key information sheet was waived by the CVM.
