Americanas (AMER3), which is under court-supervised reorganization, completed on September 21, 2026, the second partial closing of the asset sale transaction involving Hortifruti Natural da Terra, referring to a store located in the State of São Paulo, under the purchase and sale agreement executed in May 2026 for the disposal of 10 loss-making stores for R$ 69.3 million.

With this closing, corresponding to the fourth of the 10 stores covered by the agreement, Oba Hortifruti made a payment of R$ 627,698.55, an amount equivalent to 6.038% of the total upfront tranche of the transaction. From this amount, the M&A Cost Values (merger and acquisition costs defined in the Judicial Reorganization Plan) were deducted, and the remaining balance was deposited in the M&A Payments Account for extraordinary amortization of the debentures of Americanas’ 22nd issuance of non-convertible debentures.

The price due for the assets in this second closing, net of the upfront portion already paid, will be settled in 24 equal, consecutive monthly installments, maturing on the 15th of each month, starting from the month immediately following the closing date, adjusted by the positive variation of the CDI from the closing date until payment.
