On Monday, September 21, 2026, Braskem (BRKM3, BRKM5, BRKM6) announced that it received from Shine I Fundo de Investimento em Participações Responsabilidade Limitada (FIP Shine) confirmation that the Brazilian Securities and Exchange Commission (CVM) has granted the request to register the public tender offer (OPA) for shares issued by the company, resulting from the disposal of its controlling interest. B3 has already authorized the holding of the OPA auction in its trading environments.
According to the notice, the OPA will be launched in accordance with article 254-A of Law No. 6,404, article 10 of Braskem’s bylaws, and CVM Resolution No. 215. The offer will cover all common and preferred shares of Braskem in circulation and will reproduce the same per-share consideration paid by FIP Shine to NSP Investimentos S.A. in the change-of-control transaction.
FIP Shine will subsequently inform Braskem of the publication of the OPA notice, which will provide all the information needed for shareholders’ decisions, including the auction date. The company states that it will keep the market informed of any material developments related to the matter.
The notice also highlights that the OPA will not be directed to persons resident in jurisdictions where participation in the offer is prohibited by law or depends on registration that has not been obtained, including shareholders resident or domiciled in the United States who are considered U.S. Persons under U.S. law.
