On Thursday, September 17, 2026, Sendas Distribuidora S.A. (Assaí; ASAI3) announced the signing of a contract to acquire all the capital of companies that own 18 gas stations already installed at Assaí stores in the State of São Paulo. The total price of the transaction will be up to R$ 80 million, including a down payment, installments contingent on the completion of the acquisitions, and an earn-out tied to targets.

According to the company, the transaction is part of its strategy to develop new growth avenues that complement its core business, expanding its range of products and services, increasing clients’ share of wallet, and leveraging the scale and existing assets in the Assaí ecosystem.

Assaí currently says it serves more than 40 million customers per month and estimates traffic of approximately 20 million vehicles per month at its stores. Entering the fuel segment should allow it to offer an additional convenience solution at competitive prices, using store traffic, parking areas, infrastructure and locations, while also helping dilute fixed costs by adding a new revenue stream.

The 18 acquired stations will be the initial platform for this new growth front. Internal studies indicate long-term potential for the gradual development of a network of more than 100 gas stations at Assaí stores, including the units in this transaction, subject to the individual assessment of the feasibility and return of each project, the availability of space, the necessary licenses and the company’s corporate approval procedures.

The contract stipulates that the company will only be able to take over each operation as of July 31, 2027, after fulfillment of the customary conditions precedent for this type of transaction, including prior approval by CADE for payment of the R$ 40 million down payment.
