Desktop (DESK3) approved, at a meeting of the board of directors held on Wednesday, July 22, 2026, a capital increase of R$ 239,235, within the limit of authorized capital. The move results from the exercise of stock options provided for in the company’s Stock Option Plan and in the First Stock Option Program.

With the increase, Desktop’s share capital went from R$ 1,000,302,239.33 to R$ 1,000,541,474.33. As part of the transaction, 29,175 common, registered, book-entry shares with no par value were issued, all resulting from the exercise of options.

The new shares were issued at an average price of R$ 8.20 per share, in accordance with the conditions set forth in the stock option plan applicable to the beneficiaries. After the issuance, the potential dilution of the company’s current shareholders as a result of this capital increase is 0.02509755%.

The shares issued grant their holders the same rights, benefits and restrictions as the existing common shares, including the right to receive dividends and other distributions that Desktop may declare, in accordance with corporate law, the B3 Novo Mercado rules and the company’s bylaws.
